Civiliti Disclosure Statement

Important Legal Notice

This Disclosure Statement is issued by Civiliti ("the Platform"). By accessing or using Civiliti, you acknowledge and agree to the following:

1. Platform Role

  • Civiliti is a decentralized, non-custodial technology provider only.
  • Civiliti does not provide brokerage, custodial, advisory, or investment services and is not registered as a broker-dealer, investment advisor, or custodian under U.S. securities laws.
  • All transactions occur peer-to-peer between Asset Owners (listing assets) and Asset Holders (purchasing or staking). Civiliti does not act as a counterparty.

2. Responsibilities of Asset Owners

  • Compliance: Asset Owners are solely responsible for ensuring their offerings comply with applicable securities, commodities, tax, and licensing laws.
  • Accuracy: All yield, AUM, or performance information is self-reported by Asset Owners. Civiliti does not verify or endorse such data.
  • Issuer Certification: By listing, Asset Owners certify that their disclosures are accurate, lawful, and complete, and accept liability for misrepresentations or omissions.

3. Responsibilities of Asset Holders

  • Due Diligence: Asset Holders must conduct their own due diligence before participating in any offering.
  • Risk Assumption: All investments carry risk, including potential total loss. Civiliti does not guarantee returns or provide insurance.
  • Risk Disclosure Acknowledgment: By using Civiliti, Asset Holders acknowledge that all participation is at their own risk.

4. Fees

  • Civiliti charges fees for tokenization, transaction processing, and/or liquidity services.
  • All fees are enforceable under New York law and are non-refundable except where required by law.

5. Technology Risks

Civiliti is non-custodial. Users control their own wallets and private keys at all times. Loss of access to private keys or wallets will result in permanent loss of assets.

By participating, users assume risks of:

  • Smart contract bugs, exploits, or vulnerabilities;
  • Blockchain network congestion, forks, or downtime;
  • Oracle or third-party data feed errors;
  • Market volatility and liquidity shortages;
  • Wallet loss, hacks, or cyberattacks.

Civiliti provides no insurance or backstop against these risks.

6. Regulatory & Legal Considerations

  • Jurisdictional Exclusions: Use of Civiliti may be prohibited in certain jurisdictions, including sanctioned or high-risk regions. Users are solely responsible for ensuring their participation is legal in their location.
  • Forward-Looking Statements Disclaimer: Any projections, APY figures, or AUM claims are forward-looking statements provided by Asset Owners and are not guarantees of future performance.
  • Regulatory Change Clause: Civiliti reserves the right to suspend or modify services to comply with new laws or regulations.

7. Taxes

  • Users are solely responsible for reporting, calculating, and paying any taxes due in connection with their participation on Civiliti.
  • Civiliti does not provide tax advice or file tax reports on behalf of users.

8. No Fiduciary Duty

Civiliti does not act as a fiduciary and owes no duty of loyalty, care, or advisory responsibility to users. All decisions are the responsibility of the user.

9. Arbitration & Legal Venue

  • All disputes shall be resolved exclusively through binding arbitration under the American Arbitration Association (AAA), conducted in New York County, New York, under New York law.
  • No Class Actions: Users waive the right to bring or join class, collective, or representative actions.

10. Indemnification

Users agree to indemnify and hold harmless Civiliti, its affiliates, officers, and partners against any claims, liabilities, losses, or expenses arising from:

  • Misuse of the platform;
  • Violations of law or regulations;
  • False or misleading disclosures by Asset Owners;
  • User negligence, fraud, or misconduct.

11. Intellectual Property

Civiliti retains all rights, title, and interest in its technology, software, branding, and proprietary materials. Unauthorized use, reproduction, or distribution is strictly prohibited.

12. Force Majeure

Civiliti shall not be liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, regulatory changes, labor disputes, cyberattacks, or blockchain failures.

13. Severability & Entire Agreement

If any provision of this Disclosure Statement is found invalid or unenforceable, the remaining provisions shall remain in effect. This Disclosure Statement, together with Civiliti's Terms of Service, constitutes the entire agreement between Civiliti and its users.
